Forming an LLC is usually the smartest way to start a business in Missouri. It separates your personal assets from your business, keeps your taxes flexible, and costs as little as $50. Missouri also has no annual report requirement, so the upkeep is lighter than in most states. Here is the process, start to finish.
1. Name your LLC. Your name must include “LLC” or “Limited Liability Company” and be different from any business already registered in the state. Check availability on the Missouri Secretary of State website before you commit.
2. Appoint a registered agent. Every Missouri LLC needs a registered agent with a physical in-state address who can receive legal and state mail during business hours. You can be your own agent or hire a service to keep your address private.
3. File your Articles of Organization. This is the step that creates your LLC. File online with the Secretary of State for $50, or by mail for $105. It is a one-time fee, and online filings are usually approved within one to three business days.
4. Write an operating agreement. Missouri does not require one, but you should have it anyway. It sets out ownership, profit splits, and decision-making, and it strengthens your liability protection, even for single-member LLCs.
5. Get an EIN. This free IRS number acts like a Social Security number for your business. You need it to open a business bank account, hire employees, and handle taxes.
6. Register for state and local taxes. Register with the Missouri Department of Revenue through MyTax Missouri or Form 2643. If you sell taxable goods or services, you will need a sales tax license. Operating in the City of St. Louis adds a business license and the 1% earnings tax, so leave time for the local steps.
